In today’s dynamic energy sector, effective managers and supervisors require more than just technical expertise. A solid working knowledge of fundamental business disciplines – specifically law, accounting, and finance – is crucial for making informed decisions, developing projects, and ensuring robust corporate management. COURSE OBJECTIVES OF THE TRAINING

Upon completion of this course, participants will be able to:

  1. Understand the foundations of legal processes, including contract, tort, business organizations, tax, regulatory, and property law, as applied to the petroleum industry.
  2. Grasp the fundamentals of finance, including sources and cost of debt and equity, and approaches to corporate and project financing.
  3. Comprehend accounting fundamentals and analyze the four basic financial statements: Income, Balance Sheet, Cash Flow, and Equity Statement.
  4. Apply their knowledge to build and read financial statements specific to exploration companies and regulated pipelines within the petroleum sector.
  5. Utilize integrated legal and financial knowledge for project development and general corporate management, as demonstrated through a practical simulation.
WHAT YOU WILL LEARN

This course will present the foundations of three key management topics – law, accounting, and finance – in a practical manner, from the perspective of the petroleum industry. Upon its completion you will be able to read legal agreements and discuss financial statements in a whole new light and be able to apply them to project development or general corporate management. This program is a foundation course in our Essential Skills for the Oil & Gas Professionals Curriculum.

You will learn about:

  • Legal Fundamentals and Applications of Law: Introduction to the legal process, contract law, tort law, business organizations, tax law and application, regulatory law, and property law.
  • Fundamentals of Finance: Sources and cost of debt and equity, corporate and project financing, and typical financing term sheets and projections.
  • Accounting and Finance: Accounting fundamentals and applications, finance fundamentals and applications, and the four basic financial statements (Income, Balance Sheet, Cash Flow, and Equity Statement).
  • Practical application of building and reading financial statements of an exploration company and a regulated pipeline, and reading financial statements of several petroleum companies.
  • Through a Law and Finance Project Simulation (Jasper), you will perform legal review and prepare a financing plan for a gas storage facility, reviewing major service agreements, regulatory documents, and financial agreements.
DURATION AND PROGRAM

This is a structured training course designed to provide a foundational understanding of law, accounting, and finance for energy professionals. The program will integrate theoretical foundations with practical applications, including a significant project simulation. The detailed program schedule, including specific session timings and the structure of the “Jasper” simulation, will be communicated prior to the training commencement.

This course is designed for those mid- to senior-level managers and supervisors from all sectors of the oil and gas industry who wish to enhance their practical knowledge and understanding of three fundamental management areas: law, accounting, and finance, that strongly influence their understanding of business and inform their organizational decision-making. The course is structured into four key modules, systematically building knowledge in law, accounting, and finance, culminating in a practical simulation:

  • Introduction to the Legal Process: Sources of law, legal systems, dispute resolution.
  • Contract Law: Formation, terms, breaches, remedies, importance in energy deals.
  • Tort Law: Negligence, strict liability, environmental liability in oil & gas.
  • Business Organizations: Types of entities (corporations, partnerships), governance, liability.
  • Tax Law and Application: Key tax principles relevant to the energy sector.
  • Regulatory Law: Overview of environmental, safety, and operational regulations.
  • Property Law: Rights related to land, mineral leases, and access.
2. Fundamentals of Finance This module introduces core financial concepts essential for understanding how energy projects and companies are funded and managed financially.

The key topics include;

  • Sources of Debt and Equity: Loans, bonds, equity issuance, venture capital.
  • Cost of Capital: Weighted Average Cost of Capital (WACC).
  • Corporate Financing: Capital structure decisions, working capital management.
  • Project Financing: Structures, risks, non-recourse finance in energy projects.
  • Typical Financing Term Sheets and Projections: Understanding key clauses and financial forecasting.
3. Accounting and Financial Statement Analysis This module provides a practical understanding of accounting principles and how to read, interpret, and build key financial statements relevant to the energy sector.

The key topics include:

  • Accounting Fundamentals and Applications: Basic accounting equation, accrual vs. cash basis.
  • Finance Fundamentals and Applications: Relationship between accounting and finance.
  • Four Basic Financial Statements: Income Statement (Profit & Loss), Balance Sheet, Cash Flow Statement, Statement of Equity.
  • Building the Financial Statements: Practical exercises for an exploration company and a regulated pipeline.
  • Reading Financial Statements: Analyzing real-world examples from several petroleum companies for insights into performance and health.
4. Law and Finance Project Simulation: Jasper This capstone module integrates the legal, accounting, and financial knowledge gained throughout the course through a realistic, team-based simulation.

The key topics include:

  • Scenario introduction: Developing an underground gas storage facility.
  • Team-based legal review of major service agreements and regulatory agency application documents.
  • Preparation of a financing plan, including review of debt and equity financing agreements.
  • Development of proforma financial statements for the project.
  • Decision-making under practical constraints and presentation of findings.
  • Discussion and debrief on common challenges and best practices in integrated legal and financial project management.
TRAINING STYLE

The modules will be taught through PowerPoint presentations, and lectures and will include a case study/field visit, breakout sessions, case studies and other interactive discussion components.

The course will also include a few guest speakers, both in person and via Zoom and other online learning platforms for overseas speakers. This provides useful real-world insights alongside the more theoretical aspects of the course.

The conference faculty shall consist of experienced decision makers, as well as practitioners and representatives from established educational and research institutions active around climate change, engineering and international development. Throughout the course, theoretical presentation of concepts will be moderated and more group discussions and plenary engagements will be optimized. PowerPoint presentations will be made by facilitators and resource persons, to highlight key concepts before embarking on group work.
